Frontenac Completes the Sale of Integris to OMERS Private Equity

Cranbury Township, NJ

Frontenac has completed the sale of Integris, an IT managed service provider (“MSP”) to OMERS Private Equity (“OMERS”). Financial terms of this transaction were not disclosed.

Integris was formed in 2021 through the Frontenac-backed merger of several like-minded MSPs. With over 600 employees nationwide, Integris offers its SMB clients the power of a national network with the personal service of a nearby, local-market MSP. The acquisition by OMERS is expected to continue fueling Integris’ expansion goals through new acquisitions, organic growth, and investment in its employee base.

Frontenac initially invested in Domain Computer Services in 2020 in partnership with Founder and CEO, Rashaad Bajwa and Frontenac CEO1ST® Partner, Mike Jenner as part of a proactive investment pursuit focused on the MSP category. The platform was rebranded as Integris in late 2021. In just over four years, Frontenac and the Integris team completed eight add-on acquisitions, generated substantial organic growth, built a talented leadership team, and increased EBITDA by more than 12-fold.

Rashaad Bajwa, CEO of Integris, said, “Frontenac had a vision of acquiring and scaling assets within the MSP sector and believed in our ability to execute on that vision with Domain as a starting point. Through a variety of growth initiatives and acquisitions, we were able to take a differentiated regional player in Domain and build a national provider of comprehensive IT services and solutions in Integris. We extend our sincere gratitude to Frontenac for its investment, leadership, and collaboration along the way.”

Joe Rondinelli, Managing Director at Frontenac, commented, “Integris is a great example of a Frontenac investment thesis, executive partnership, and talented management team coming together to pursue a common goal. It has been a pleasure working and building together with the Integris team and we’re excited to track their next phase of growth.” Joe added, “At Frontenac, we believe there is meaningful white space remaining across the MSP market and we continue seeking opportunities to partner with unique assets in this space.” In 2024, Frontenac began building another MSP platform to serve the middle market with investments in Ideal Integrations, a provider of managed IT and security services to professional services, healthcare and SLED market clients and 1Path, a managed services provider based in Atlanta, GA.

The sale of Integris to OMERS closed on December 30, 2024. DLA Piper acted as legal counsel and Baird served as financial advisor for Integris and Frontenac.
